SEC proposes public company reforms to ease registered offerings

One of the most significant changes under the proposed rules would expand federal preemption to all registered securities offerings.

In order to make it easier for public companies to raise money through registered offerings and reduce reporting burdens for small and mid-sized issuers, the SEC has proposed two sets of rule amendments. These would also preempt state registration and qualification requirements for all SEC-registered securities.
