The firm over-tendered 11.1m shares in 13 partial tender offers (PTOs). The firm’s procedures “did not require the frim to determine whether it held any short positions in the security in other accounts, nor did they provide any other means to ensure that the firm would not tender more securities than it was net long”.

The decision to bar the former securities representative is confirmed and a second bar in all capacities is also imposed along with a disgorgement of $458,418.07 in commissions earned from the relevant transactions.
